Terms and conditions

These terms explain the general arrangements for products and services supplied by Kiofa B.V., including Boekhouden.

1. Kiofa and the customer

Kiofa B.V. is based at Polluxstraat 50, 1363 VB Almere, the Netherlands, and is registered with the Dutch Chamber of Commerce under number 96722193. Its VAT number is NL867732143B01. Contact Kiofa at info@kiofa.com or +31 36 525 98 71. Visits are by appointment only.

‘You’ and ‘customer’ mean the person or organisation entering into an agreement with Kiofa. An ‘agreement’ covers the supply of software, digital products or other agreed services. A consumer acts outside their trade, business or profession.

2. Which terms apply?

These terms apply where they have been declared applicable and made available before or when the agreement is concluded. An individual written agreement takes precedence if there is a conflict. Mandatory statutory rights always remain in place.

Additional product terms may apply if they were made available before the agreement was concluded. A business customer’s terms apply only if Kiofa expressly accepts them in writing. Publishing a new version of this page does not, by itself, change an existing agreement.

3. Purchasing a product or subscription

An agreement is formed when you accept an offer and Kiofa confirms the order or assignment, or in another expressly agreed way. You provide accurate and complete contact and billing details and are authorised to act for the organisation you specify.

For Boekhouden, the available plans, price, currency, VAT treatment, billing period, duration and any renewal arrangements are shown in the software before you subscribe. The arrangements confirmed there determine your subscription. These terms therefore do not set a fixed subscription price or standard duration.

Delivery is digital, through the access method or process specified in the offer. Any separate work or additional charges are agreed in advance.

4. Payment and changes

You pay using the method and within the period agreed for your subscription or assignment. Recurring charges require a valid mandate or other appropriate consent. For consumers, mandatory charges and applicable taxes are included in the total price disclosed beforehand.

If payment is overdue, Kiofa may send a reminder. Interest and collection charges are applied only where permitted by law and following any required notice. Contact us with questions about a charge or invoice so that we can investigate.

Kiofa changes an agreed price or service only where the agreement and the law permit it. We inform you in advance of a change and any right to cancel. Changes are not applied retrospectively.

5. Managing and cancelling a subscription

You can subscribe, manage your plan and cancel within Boekhouden. The agreed duration, any renewal and applicable cancellation arrangements determine when your subscription ends. The software shows the information relevant to your plan. If you cannot cancel in the software, contact us using the email address above.

Your right to use the paid service ends when the agreement ends. Make timely arrangements to retain the information you need or are required to keep, and discuss any transfer questions with Kiofa. Data processed on your behalf is also subject to the applicable data-processing arrangements.

Amounts already due remain payable. Any refund follows from the offer, a separate agreement or your statutory rights. You do not have to waive statutory rights to cancel a subscription.

6. Responsible use of the software

During the agreement, you receive a non-exclusive right to use the software within the limits of your plan. Keep login details confidential, give access only to authorised people and report suspected misuse to Kiofa. You must not use the software to infringe others’ rights, bypass security or disrupt the service.

You remain responsible for the information you enter, the permissions you give other users and checking your administration. VAT overviews, calculations and reports must be assessed in the context of your own circumstances. A software subscription includes separate tax advice or filing tax returns only where this has been expressly agreed.

7. Operation, maintenance and support

Kiofa provides the agreed service with reasonable care and works to resolve problems within its control. Online software may be temporarily less accessible, for example during maintenance or an outage. Please report problems with a clear description so we can investigate.

Kiofa may carry out necessary maintenance and security measures and improve the software, taking account of agreed functionality and legal obligations. Access may be temporarily restricted in cases of serious misuse or a security risk, to the extent reasonably necessary. We inform the affected customer when it is responsible to do so.

A publication on a website or channel provides general information. It is not personal advice or a promise about your financial outcome.

8. Intellectual property and confidentiality

Rights in software, designs, text, videos, music and other materials supplied by Kiofa remain with Kiofa or the relevant rights holder. A subscription does not transfer those rights. Copying, resale or distribution is allowed only to the extent permitted by the licence, the rights holder or the law.

Your own data remains yours or the relevant rights holder’s. Kiofa uses information supplied for an assignment to perform and complete it and meet related legal obligations. We treat confidential information accordingly. Our privacy policy explains the use of personal data. Where Kiofa acts as a data processor, additional data-processing arrangements are required.

9. If something goes wrong

Tell Kiofa what has gone wrong and, where a remedy is possible, give us a reasonable opportunity to put it right. This does not affect your statutory remedies for a breach of contract.

For business customers, liability for an attributable breach is limited to twice the fee for the relevant assignment, with a maximum of €2,500. For an ongoing subscription, the relevant fee is the amount for the service during the twelve months preceding the event. Related events are treated as one event.

This limitation does not apply to intentional misconduct or deliberate recklessness by management, or to liability that cannot legally be limited. It does not apply to consumers. Kiofa does not guarantee a particular tax outcome, revenue or other business result from using the software or publications.

10. Consumer rights

If you conclude a distance contract for a service as a consumer, you generally have a fourteen-day withdrawal period from the date the agreement is concluded. You can withdraw by making an unambiguous statement within that period, for example by email. Please include your name and identify the agreement concerned.

If you expressly request that a service starts during the withdrawal period, a proportionate amount may be payable on withdrawal, but only if the legal information and consent requirements have been met. Separate statutory conditions apply to losing withdrawal rights for fully performed services or immediately supplied digital content. Accepting these terms alone is not sufficient.

Statutory rights concerning a conforming digital service, necessary updates, remedies, price reductions, termination or refunds remain applicable. Following a valid withdrawal, Kiofa refunds payments in accordance with the applicable legal rules and deadlines.

11. Complaints and applicable law

Send a complaint to info@kiofa.com, describing what happened and the solution you are seeking. We first try to resolve a dispute together.

Dutch law applies. Consumers retain the mandatory protection available under the applicable law of their country of habitual residence. Disputes are brought before the court with jurisdiction under the applicable legal rules.
